Cal-Comp, Fruitas IPO gets SEC nod
The Securities and Exchange Commission (SEC) has greenlighted the respective P9.286 billion and P1.062 billion maiden offering of Cal-Comp Technology Philippines, Inc. and Fruitas Holdings, Inc.
The corporate regulator said it found favorable the registration statements filed by the companies. The orders of registration and permits to sell securities, on the other hand, will follow after the firms have complied with certain conditions.
Electronic manufacturing service provider Cal-Comp and food and beverage kiosk operator Fruitas eye listing their common shares at the Philippine Stock Exchange (PSE) following their offer period between 11 to 18 November and 11 to 22 November, respectively.
The maiden offerings follow the market debut of Kepwealth Property Phils, Inc., Axelum Resources Corp. and AllHome Corp.
Cal-Comp intends to offer 271.42 million common shares with an overallotment option of 55.7 million common shares currently held by Kinpo International Singapore Pte. Ltd.
It will offer the shares at a maximum of P25 apiece. Cal-Comp will have a public float of 28.87 percent if the overallotment option is exercised, or otherwise 25.10 percent.
Cal-Comp tapped BDO Capital & Investment Corp. and Maybank Kim Eng Securities Pte. Ltd. as joint global coordinators and bookrunners for the transaction, while Maybank Kim Eng Securities will act as international lead underwriter and Maybank ATR Kim Eng Capital Partners, Inc. will join BDO Capital as domestic lead underwriter.
